These Terms of Service (“Terms”) are a binding agreement between you and Ark Marine Construction, doing business as Reef Resort (“Reef Resort,” “we,” “us,” or “our”). They govern your use of samal.reefresort.co, the Karina project, our booking and ownership interfaces, and related online services (collectively, the “Services”).
1. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to make a booking, purchase an ownership interest, connect a business or social-media account, or complete another transaction through the Services. If you use the Services for a company or another person, you represent that you have authority to bind that party.
2. Description of the Services
The Services may provide information about Reef Resort, floating accommodations, resort stays, activities, ownership opportunities, fractional interests, revenue-sharing arrangements, NFT or blockchain-based certificates, and related products or projects. They may also allow you to submit inquiries, communicate with Karina, connect authorized Meta features, select dates, make payments, or begin a purchase process.
Features may change, and some services may be subject to separate written contracts, waivers, house rules, booking terms, ownership agreements, payment-provider terms, or transaction documents. Those specific terms control if they conflict with these general Terms.
3. Accounts, Meta Integrations, and Security
You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your account credentials. When you connect Meta/Facebook or another third-party account, you authorize us to access and use the information and permissions you approve for the requested feature. You may revoke access through the applicable third-party platform.
You must promptly notify us if you believe an account, access token, payment method, or connected service has been compromised. You may not use another person’s account or impersonate any person or organization.
4. Karina and AI-Assisted Information
Karina may use automated or artificial-intelligence-assisted systems to provide information, draft responses, answer common questions, or help route inquiries. Output may be incomplete, outdated, or incorrect and is not a substitute for confirmation from an authorized Reef Resort representative.
Do not rely solely on Karina for emergency, safety-critical, legal, medical, tax, investment, payment, availability, or ownership decisions. Final pricing, availability, rights, obligations, and transaction terms are determined only by the applicable checkout confirmation or signed written agreement.
5. Bookings and Payments
- A booking is not confirmed until required payment is received and Reef Resort issues a confirmation.
- Availability, rates, discounts, taxes, fees, deposits, and minimum-stay rules may change until a booking is confirmed.
- You agree to provide accurate guest and payment information and authorize the stated charges.
- Cancellation, modification, no-show, refund, and deposit rules are those disclosed during booking or in your confirmation. If no specific rule is stated, contact us before paying.
- You are responsible for charges caused by damage, loss, rule violations, excess guests, or services requested during a stay, to the extent permitted by law and disclosed to you.
6. Resort Stays and Water Activities
Guests must follow applicable laws, staff instructions, safety procedures, occupancy limits, environmental rules, and property policies. Ocean environments, boats, floating structures, swimming, kayaking, paddleboarding, water rides, and similar activities involve inherent risks, including weather, waves, currents, slips, falls, collision, equipment failure, injury, and drowning.
Participation may require a separate waiver, safety briefing, age or health restriction, or use of safety equipment. We may suspend or cancel an activity when reasonably necessary for safety, weather, maintenance, legal compliance, or operational reasons.
7. Ownership, Fractional Interests, Revenue Sharing, and NFTs
Website descriptions of ownership percentages, revenue sharing, usage rights, voting rights, NFT certificates, transferability, projected income, or related benefits are summaries only. Any purchase is governed by separate written transaction documents, which may include eligibility checks, identity verification, payment requirements, transfer restrictions, fees, risk disclosures, and ongoing obligations.
Nothing on the Services is legal, tax, accounting, securities, or investment advice. No statement is a guarantee of income, appreciation, liquidity, resale value, occupancy, or return. You are responsible for conducting your own due diligence and obtaining independent professional advice before purchasing.
An NFT or blockchain record does not by itself create legal title, real-property ownership, or contractual rights unless the applicable signed agreement expressly states that it does. Legal rights are determined by the governing transaction documents and applicable law.
8. Cryptocurrency and Blockchain Transactions
Cryptocurrency and blockchain transactions may be volatile, irreversible, delayed, subject to network fees, and exposed to technical, regulatory, custody, wallet, and cybersecurity risks. You are responsible for verifying wallet addresses, network selection, transaction details, and tax consequences. We are not responsible for losses caused by your wallet, an incorrect address, incompatible network, third-party exchange, private-key loss, or blockchain conditions outside our reasonable control.
9. Acceptable Use
You may not:
- use the Services for unlawful, fraudulent, deceptive, abusive, or harmful activity;
- submit false information, impersonate others, or interfere with another person’s use;
- probe, scan, disrupt, overload, reverse engineer, or attempt unauthorized access to the Services or connected systems;
- upload malware, malicious code, or content that infringes intellectual-property, privacy, or other rights;
- scrape, copy, or commercially exploit substantial portions of the Services without our written permission, except as allowed by law; or
- use automated systems in a way that creates excessive traffic, bypasses controls, or violates Meta or another third party’s terms.
10. Content and Intellectual Property
The Services and their text, designs, graphics, photographs, videos, software, trademarks, logos, and other content are owned by Reef Resort or its licensors and are protected by applicable laws. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended personal or internal business purpose.
11. Information You Submit
You retain ownership of content you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, and use that content only as reasonably necessary to provide, secure, improve, and promote the Services, communicate with you, and comply with law. You represent that you have the right to submit the content and that it does not violate law or third-party rights.
12. Third-Party Services
The Services may integrate with or link to Meta, payment processors, identity-verification providers, maps, analytics, social networks, cryptocurrency services, or other third parties. We do not control their services and are not responsible for their availability, content, security, or independent terms and policies.
13. Service Availability and Changes
We may modify, suspend, restrict, or discontinue any part of the Services for maintenance, security, legal, operational, or business reasons. We do not guarantee uninterrupted access, continuous availability, or that every error will be corrected.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
15. Limitation of Liability
To the maximum extent permitted by law, Reef Resort and its owners, directors, officers, employees, contractors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, opportunity, or cryptocurrency value arising from or related to the Services.
To the maximum extent permitted by law, our total liability for a claim relating to the online Services will not exceed the amount you paid us through the Services for the specific transaction giving rise to the claim during the six months before the event, or PHP 5,000 if you paid nothing. This limitation does not apply where liability cannot legally be limited, or where a separate signed agreement provides a different remedy.
16. Indemnity
To the extent permitted by law, you agree to indemnify and hold Reef Resort harmless from third-party claims, losses, and reasonable expenses arising from your unlawful use of the Services, violation of these Terms, infringement of another person’s rights, or content you submit.
17. Suspension and Termination
We may suspend or terminate access when we reasonably believe you violated these Terms, created security or legal risk, failed to pay amounts due, or misused the Services. Provisions that by their nature should survive termination will remain effective, including payment obligations, ownership terms, intellectual property, disclaimers, limitations of liability, and dispute provisions.
18. Governing Law and Disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Before filing a formal claim, you agree to contact us and attempt in good faith to resolve the dispute informally. Any unresolved dispute shall be submitted to a court of competent jurisdiction in the Philippines, unless a separate signed agreement specifies another procedure or venue.
19. Changes to These Terms
We may update these Terms by posting the revised version on this page and changing the “Last updated” date. Material changes may also be communicated through the website, email, or another reasonable method. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
20. General Provisions
If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent; we may assign these Terms as part of a reorganization, financing, sale, or transfer of the business. These Terms, together with referenced policies and any applicable transaction documents, form the entire agreement concerning the online Services.
